1. Agreement to Terms

By accessing or using the services of NuoMing Tech Plains (Dongguan NuoMing Ping Technology Co., Ltd.), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

NuoMing Tech Plains provides professional computer systems design, computer integrated systems design, and related technical consulting services. The specific scope and terms of services will be defined in individual service agreements.

You retain all rights to your data and materials provided to us. By using our services, you grant us a limited license to use your materials solely for the purpose of providing our services to you.

5. Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, payment is due within 30 days of invoice date. Late payments may incur interest charges and may result in suspension of services.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of our services.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. We will use reasonable efforts to meet agreed-upon deadlines and specifications.

7.2 Disclaimer

Except as expressly stated in a service agreement, our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the results of our services or their suitability for any particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, NuoMing Tech Plains shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless NuoMing Tech Plains, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms of Service.

10. Term and Termination

These Terms of Service remain in effect while you use our services. Either party may terminate a service agreement in accordance with its terms. Upon termination, you must cease using our services and return or destroy any confidential information.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to the competent court in Dongguan, Guangdong Province, China.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.

14. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and NuoMing Tech Plains regarding the use of our services.
